Terms of Service

These Terms govern your access to and use of VisibleMax. By creating an account or using the Service, you agree to these Terms.

These pages are provided for transparency and operational clarity. They are not legal advice. VisibleMax is not yet legally incorporated; entity name, registered address, and governing law must be updated after incorporation and reviewed by qualified counsel before relying on these policies for commercial launch, regulatory filings, or customer contracts.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you (an individual or the entity you represent) and VisibleMax ("VisibleMax," "we," "us," or "our") regarding the VisibleMax website, application, and related services (collectively, the "Service") available at https://visiblemax.site and associated domains.

VisibleMax is the operating name of the product. VisibleMax is not yet legally incorporated. After incorporation, these Terms will be updated with the registered legal entity name, registered address, and governing law / venue. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not access or use the Service.

2. The Service

VisibleMax provides AI visibility software. Features may include website scanning, technical and content analysis, AI assistant probing, visibility scoring, recommendations, Content Studio assets (such as FAQ drafts, schema, or llms.txt), weekly execution plans, weekly monitoring (Pro), competitor visibility (Pro, up to 3), public shareable reports, and related free utility tools.

At launch, VisibleMax does not offer Enterprise plans, team / multi-seat collaboration or invites, MCP integrations, or a Chrome extension. Do not rely on marketing or third-party descriptions that promise those capabilities.

Best-effort nature. Scans, probes, scores, and recommendations are informational and best-effort. AI platforms change frequently; model outputs vary; and crawlers may be blocked or rate limited. VisibleMax does not guarantee that any AI assistant will mention, recommend, cite, or rank your brand, product, or website, nor that following recommendations will produce any particular commercial result.

Additional product disclosures appear in AI Transparency. Customer data is not used to train AI models.

3. Accounts and eligibility

You must provide accurate registration information and keep it updated.
You are responsible for safeguarding credentials and for activity under your account.
You must be legally able to enter a binding contract. The Service is intended for business and professional use, not for children.
Each account is for individual use of Free or Pro entitlements as described on Pricing. The launch product does not include team invites or multi-seat collaboration.

Authentication and account data are handled through providers described in our Privacy Policy (including Supabase).

4. Acceptable use

You agree not to:

Use the Service for unlawful, harmful, deceptive, or abusive purposes
Probe, crawl, or request analysis of websites or systems you are not authorized to assess
Attempt to circumvent plan limits, rate limits, security controls, trial rules, or billing
Reverse engineer, scrape, or overload the Service except as allowed by applicable law or a written agreement with us
Upload malware, credentials, or content that infringes others' rights
Misrepresent VisibleMax outputs as guarantees of AI ranking or revenue outcomes
Use the Service to violate third-party AI provider terms in a way that creates liability for VisibleMax
Resell or white-label the Service without our prior written consent

We may suspend or terminate access for violations, suspected fraud, or risk to the Service or other users.

5. Plans, Free tier, trial, and subscriptions

VisibleMax offers one Free plan and one paid plan at launch. Current commercial terms are summarized below and on Pricing; in-product entitlements control if there is a temporary discrepancy during rollout.

5.1 Free plan

The Free plan ($0) includes one project and one lifetime completed ai visibility scan, with a core score, top findings, free tools, and a public shareable report. There is no subscription fee for Free usage.

5.2 VisibleMax Pro Early Adopter

The sole paid offer at launch is VisibleMax Pro Early Adopter at $50 per year, billed annually. Pro includes unlimited scans, weekly execution plan, full recommendations, content studio, weekly monitoring, competitor visibility (up to 3), and email support.

Pro includes a 7-day free trial. If you cancel during the trial, you will not be charged. After the trial expires and the annual subscription begins, purchases are non-refundable except where required by law. See the Refund Policy.

5.3 Polar billing

Paid subscriptions and trials are billed through Polar, which acts as merchant of record / payment processor for applicable purchases. By purchasing or starting a trial, you also agree to Polar's applicable terms and privacy practices for payment processing. Subscription renewals, taxes, invoices, and payment method updates are handled according to the checkout flow and Polar's systems.

We do not offer Enterprise plans, custom order forms, or separate sales channels at launch. Support for billing and product questions is [email protected] only.

6. User content and license

"User Content" means URLs, domains, brand materials, prompts, uploads, and other content you submit to the Service.

You retain ownership of User Content. You grant VisibleMax a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, and create derivative analyses of User Content solely as needed to provide, secure, and improve the Service (including crawling authorized sites, running probes, generating recommended assets for your account, and providing support).

VisibleMax does not use customer data to train AI models. Processing by third-party AI providers is solely to deliver product features. See AI Transparency and our Privacy Policy.

You represent that you have all rights necessary to grant this license and to authorize scanning of the submitted properties.

Generated drafts and recommendations are provided for your review. You are solely responsible for reviewing, editing, publishing, and legal compliance of any materials you publish to your websites or channels.

7. Intellectual property

The Service — including software, UI, documentation, trademarks, logos, and VisibleMax-created content (excluding User Content) — is owned by VisibleMax and its licensors (and, after incorporation, by the registered legal entity that succeeds to these rights). These Terms do not transfer ownership of the Service to you. You receive a limited, non-transferable, non-exclusive right to access and use the Service according to your plan and these Terms.

Feedback you provide may be used by VisibleMax without obligation to you.

8. Third-party services and AI providers

The Service depends on third parties, including hosting (Vercel), auth/data (Supabase), billing (Polar), job orchestration (Trigger.dev), optional analytics (PostHog, when consented), and third-party LLM providers: OpenAI (ChatGPT), Anthropic (Claude), Google (Gemini), Perplexity, xAI (Grok), DeepSeek. Their availability, policies, and outputs are outside our exclusive control. Outages, model changes, or provider policy updates may affect Service quality.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBLEMAX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) SCANS OR PROBES ARE COMPLETE OR ERROR-FREE; (B) SCORES ACCURATELY PREDICT FUTURE AI BEHAVIOR; (C) GENERATED CONTENT IS FACTUALLY CORRECT OR LEGALLY COMPLIANT; OR (D) THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISIBLEMAX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO VISIBLEMAX (OR VIA POLAR FOR VISIBLEMAX) FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE ONLY USED A FREE PLAN OR AN UNCHARGED TRIAL.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.

11. Indemnity

You will defend, indemnify, and hold harmless VisibleMax and its officers, directors, employees, and agents (and, after incorporation, its affiliates under the registered entity) from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service in violation of these Terms or law; (c) unauthorized scanning or probing of third-party systems; or (d) your publication or commercial use of generated assets.

12. Termination

You may stop using the Service at any time and may request account deletion via [email protected]. We may suspend or terminate access immediately for breach, risk, non-payment, or discontinuation of the Service.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including IP ownership, disclaimers, limitations of liability, indemnity, and governing law) will survive.

Paid plan cancellations, trials, and refunds are governed by the Refund Policy and Polar checkout terms. Cancel during the 7-day free trial to avoid a charge.

13. Changes to the Service or Terms

We may modify the Service and these Terms. We will update the "Last updated" date and may provide additional notice for material changes (including updates after incorporation). Continued use after changes become effective constitutes acceptance of the revised Terms, except where mandatory law requires otherwise.

14. Governing law and disputes

Because VisibleMax is not yet legally incorporated, governing law and venue are not finally designated in these Terms. Placeholder for counsel update after incorporation: [PLACEHOLDER — update after incorporation: registered legal entity name, registered address, and governing law / venue].

Until that update, disputes will be resolved in good faith through contact at [email protected], and any proceedings will be subject to mandatory consumer or other protections that apply in your jurisdiction. Do not treat any prior draft jurisdiction (including any Delaware reference) as final.

15. Miscellaneous

These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, AI Transparency page, and Security overview, constitute the entire agreement regarding the Service at launch.
If any provision is unenforceable, the remainder remains in effect.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent; we may assign them in connection with incorporation or a corporate transaction.
